General Engagement Rules

Wohldorf Systems, Inc. (WSI) provides information technology and management consulting services. Our rules for engagement are as follows:

1. Billable Items
WSI charges for consulting time, out-of-pocket expenses, and materials ordered by clients. Out-of-pocket expenses shall include expenses defined in items 4 to 4.2.
 
2. Consulting Rates
WSI offers to its clients a variety of contractual engagement options: hourly rates, retainer support package, fixed price workshops, etc.
 
2.1 Hourly Rates
Hourly consulting rates depend on the nature of the project, project duration, specific resources used, and the project location.  WSI will charge for time spent meeting with client staff to understand the situation or issues, time spent reviewing documents, time spent on the telephone talking about the situation or issues, analyzing, configuring and testing, educating and creating documentation and reports.
 
2.2 Retainer Support Package
The retainer agreement between WSI and the client states the monthly fee, the number of consulting hours and type of services covered under the retainer agreement. Consulting time and services spent beyond retainer agreement will be billed separately.
 
2.3 Workshops
Workshops will be invoiced based on the current standard price list. For on site workshops, WSI will charge additional for travel time and expenses as outlined in section 3 and 4 below. WSI reserves the right to cancel workshops for any reason; however, our guideline is to cancel a workshop only if no clients are registered two calendar weeks before the workshop start date. For any cancellation, registered students will be notified. For a client who cancels eight or more calendar days before the workshop start date, there will be no charge. For a client who cancels within seven calendar days before the workshop start day, 50% of the total workshop fee will be charged. If WSI receives no notice of a client cancellation, 100% of the total workshop fee will be charged. To avoid travel restrictions and penalties, we recommend that the client make airline reservations only after the client has received a workshop confirmation from WSI.
 
3. Travel Time
WSI does not charge fees for travel inside the National Capital Region (NCR, i.e. Metro Manila). If a project requires travel outside the National Capital Region or will involve international travel, actual time spent for the travel will be billed. Within Pasig City and Mandaluyong, no minimum call out time is required. Within the NCR, but outside of Pasig City and Mandaluyong, a minimum call out time of 4 man-hours is required. Within the Philippines, but outside the NCR, a minimum of 1 man-day call out time is required.
  
4. Out-Of-Pocket Expenses
WSI expect that its clients will pay for WSI consultants' out-of-pocket expenses. Out-of-pocket expenses shall include the following:
 
4.1 Transportation Expenses
Transportation shall include: airplane fares, taxi, bus, train, car and car rentals. Parking charges at hotels, restaurants and work sites will be shouldered by the client.
 
Air travel within four (4) hours flight from NAIA will be full-fare "coach" or "economy" class. Full-fare so that the consultant may elect to upgrade the trip to business class using miles. Travel to international locations shall be in business class. WSI reserves the right to decline air travel with carriers it deems unsafe.
 
To avail of corporate discounts, client may choose to arrange air travel for WSI consultants through clients travel agent. Alternatively, WSI provides for travel arrangements through our corporate travel agent.
 
WSI shall submit supporting receipts for all transportation expenses.
   
4.2 Hotel Expenses
Hotel expenses shall include room and board charges, laundry and reasonable telephone charges for internet and e-mail connections.
 
In some cases, WSI can arrange the hotel accommodation of its consultants. However, WSI prefers that the client make the necessary arrangements for a reasonably comfortable, quiet and secure accommodation of the WSI consultants.
 
WSI consultants are expected to travel with clothing for one-week duration of work. If the consultants are required on a longer duration, laundry charges shall be borne by the client.
 
5. Invoicing & Payments
Work accomplished each day will be described in one or two sentences on the timesheet. The timesheet, signed by the client assigned project manager, will be the basis for the invoice. Expense receipts will be listed separately and described on the invoice. Consulting time and expenses will be invoiced weekly. Invoices are due upon submission. For clients outside the Philippines, we require payment in U.S. Dollars via electronic funds transfer. Payment details are provided on each invoice.
 
6. Network Connection
WSI expects the client to register its consultants notebook computers in the client domain to use a shared network printer as well as provide web access. Our notebook computers use Windows 2000 and the Microsoft Office suite. Each notebook computer has a 10/100 Ethernet network adapter card. If the client requires our consultants to use other software, the client will provide the software and any necessary licenses.   
 
7. Working Conditions
Ideal working conditions are a quiet office with desk, telephone with outside and international access, Ethernet network connection, access to shared printer, and an analog telephone line for internet and email access.  Project rooms are equipped with flip chart, white board, data projector to use with notebook computer, telephone with capability to forward calls during meetings. During workshops or meetings, consultants might affix flip charts against the walls of the project room. If our consultants work evenings or weekends, the client will make all necessary arrangements to allow consultant secure access into and out of the facility.
 
8. Dress Policy
WSI will comply with clients dress policies. Unless otherwise specified, we will wear traveling clothes if we work on inbound or outbound travel days.
